Terms
Terms of service
The terms on which we provide onboarding, payment solutions and company structures.
Last updated · 22 August 2026
These are general terms for this website and the services described on it. They are not legal advice, have them reviewed by a qualified adviser before you rely on them commercially.
1. Who you are contracting with
These terms are between you, acting on behalf of a business, and Beecher Business Center LLC, 216 N Main St, Buffalo, WY 82834, United States, trading as VTORA Payments. By submitting an application or placing an order you confirm that you are authorised to bind the business you name.
2. What we do, and what we do not
VTORA Payments arranges and manages payment solutions that are provided by licensed acquiring partners, and supports incorporation and bank account opening through local corporate service providers. We are not a bank, and we are not the acquirer. Card processing is carried out by the licensed institution named in your merchant agreement, and that agreement governs the processing relationship itself.
3. Applications and acceptance
Submitting an application does not create a contract. Every application is subject to know-your-customer, anti-money-laundering and sanctions screening, and to the acquirer's own underwriting. We may decline any application without giving reasons. We pre-screen your business model and give an indication within 24 hours; paid onboarding starts only once you have an approval.
4. Fees
- Setup fee. Charged once per solution and covering onboarding, the merchant account application, compliance preparation and integration. There is no monthly platform fee.
- Processing fee. Between 5% and 8% of processed revenue. Your exact rate depends on monthly volume, industry and chargeback history, and is fixed in writing before you go live.
- Structures. Company formation packages are charged once and include the bank account opening process. Government and registry fees are included unless stated otherwise.
All prices are net and exclusive of VAT or other taxes where these apply. If your application is declined, no setup fee is charged.
5. Payouts and reserves
We do not hold a rolling reserve. Payouts are made weekly by default and daily on request; crypto settlement is normally credited within 24 hours. Chargebacks and refunds are settled case by case against the current payout. Timing depends on the acquirer and on banking hours, and indicative periods are not guarantees.
6. Your obligations
- Give complete and accurate information, and tell us promptly if it changes, particularly your business model, product range, ownership or domains.
- Sell only what is lawful in every market you accept payments from, and hold every licence that market requires.
- Keep chargebacks within the thresholds set by the card schemes and by your merchant agreement.
- Comply with the card scheme rules, with applicable consumer protection law, and with the acquirer's acceptable use policy.
7. What we do not process
We do not process anything prohibited or licence-bound without that licence in the target market, in particular prescription medicines without a licence, fraudulent or fake shops, weapons, and unlicensed gambling. We may suspend or terminate a solution immediately if we find that a prohibited activity is being processed.
8. Suspension and termination
Either party may end the arrangement on written notice. We may suspend a solution without notice where required by an acquirer, a scheme, a regulator or applicable law, or where we reasonably suspect fraud, misrepresentation or a breach of section 6 or 7. Setup fees already incurred are not refundable once onboarding has begun.
9. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, we are not liable for indirect or consequential loss, for loss of profit, revenue, goodwill or data, or for decisions taken by an acquirer, a bank or a card scheme. Our total liability in connection with these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
10. No tax or legal advice
Information about company structures is general and commercial in nature. It is not tax or legal advice. Review any structure with your own accountant and lawyer before adopting it.
11. Changes
We may update these terms. The version in force is the one published on this page, and the date above shows when it last changed. Material changes affecting a live account will be notified to the contact address we hold for you.
12. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Mandatory consumer protections available to you in your country of residence are unaffected.
